Announcement on resignation of directors of the company

Zjamp Group Co.Ltd(002758) (hereinafter referred to as “the company”) received a written resignation report from the director Mr. Li Wenhua on February 22, 2022. Li Wenhua resigned as a member of the Fourth Board of directors of the listed company and the reasons for his resignation from the Fourth Board of directors were not disclosed at the same time. As of the disclosure date of this announcement, Mr. Li Wenhua did not hold the company’s shares.
According to the relevant provisions of the company law, the guidelines for self regulation and supervision of listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board and the articles of association, Mr. Li Wenhua’s resignation did not cause the number of members of the company’s board of directors to be lower than the legal minimum and would not affect the normal operation of the company’s board of directors. Mr. Li Wenhua’s resignation report shall take effect when it is delivered to the board of directors. The company will complete the by election of directors as soon as possible in accordance with relevant regulations.
