Announcement on resignation of employee supervisors
The company and all members of the board of supervisors guarantee that the information disclosed is true, accurate and complete without false records, misleading statements or major omissions.
The board of supervisors of Northeast Securities Co.Ltd(000686) (hereinafter referred to as “the company”) received Ms. Xue Jinyan’s written resignation report on February 21, 2022. Due to job changes, Ms. Xue Jinyan applied to resign as an employee supervisor of the 10th board of supervisors of the company. After resigning from the post of employee supervisor, Ms. Xue Jinyan will continue to serve as the general manager of the company’s risk management headquarters, the director of the wholly-owned subsidiary Dongzheng RONGTONG Investment Management Co., Ltd., the director of the wholly-owned subsidiary Dongzheng Rongda Investment Co., Ltd. and the supervisor of the holding subsidiary Bohai Futures Co., Ltd. As of the disclosure date of this report, Ms. Xue Jinyan does not hold shares of the company.
As Ms. Xue Jinyan’s resignation will cause the number of employee supervisors of the company to be less than one-third of the members of the board of supervisors, according to the company law, the articles of association and other relevant provisions, Ms. Xue Jinyan’s resignation application will take effect after the new employee supervisor is elected by the employee Congress of the company, and before the new employee supervisor takes office, Ms. Xue Jinyan will continue to perform her duties as an employee supervisor in accordance with relevant laws and regulations and the articles of association. The company will complete the by election of employee supervisors and relevant follow-up work as soon as possible.
