In accordance with the civil code of the people’s Republic of China, the construction law of the people’s Republic of China, the bidding law of the people’s Republic of China and relevant laws and administrative regulations, and in accordance with the principles of equality, voluntariness, fairness and good faith, both parties to the contract have reached an agreement on the general contract of Hongguang energy Qiongzhong jiachai 100MW agricultural, forestry and photovoltaic power generation project.
1. Project Name: Hongguang energy Qiongzhong jiachai 100MW agriculture, forestry and light complementary photovoltaic power generation project.
2. Project location: jiachai farm, Qiongzhong County, Hainan Province
3. Project content: the project is photovoltaic power generation, with AC side capacity of 100MW and DC side capacity of 120mW.
4. Contracting method and scope: the project is awarded by EPC, and the contracting scope is Hongguang energy Qiongzhong jiachai 100MW agriculture, forestry and light complementary photovoltaic power generation project. Including (but not limited to) project development, early stage of the project, design, construction, installation and construction, supply of equipment and materials, spare parts, transportation, storage, insurance, technical services, commissioning, test, acceptance and grid connection, trial operation and maintenance of grid connected power generation of the project, special acceptance, completion acceptance Target project performance assurance, after-sales service and other related work and expenses. 5. Construction period: the construction period objectives of the contract are:
(1) The grid connected power generation time of the project unit shall be before December 5, 2022.
(2) The Contractor shall complete the grid connection of 40mW photovoltaic power station before October 30, 2022, and all on-site installation work before December 5, 2022 to make it in the completion state of 120mW grid connected normal power generation (i.e. the completion date).
(3) The employer plans to complete the pre construction procedures before April 30, 2022
The construction land of booster station shall be provided before April 30, the construction land of 40mwp photovoltaic area shall be provided before June 30, 2022, and the construction land of 80mwp photovoltaic area shall be provided before August 30, 2022.
The construction progress is based on the premise that the actual AC land meets the demand of 120mwp construction land on the DC side. If the above commitments cannot be completed due to the unilateral reasons of the employer, the construction period shall be postponed for each more day.
6. Total contract price
This contract is a fixed unit price contract. According to the fixed unit price of 5.4 yuan / W and the installed capacity of 120mW on the DC side of the project, the total contract price (including tax) is calculated and determined to be RMB 648000000 (in words: RMB 648 million only). The total price and itemized price of the contract are fixed prices including tax, including the price for completing all works within the scope of contract in the terms of the contract. Of which:
(1) The amount of construction and installation fee (including tax) is ¥ 158220000 (in words: one hundred fifty-eight million two hundred and twenty thousand yuan only);
(2) The amount of equipment and material procurement fee (including tax) is ¥ 339600000 (in words: RMB 339 million and six hundred thousand only);
(3) The amount of survey and design fee (including tax) is ¥ 3000000 (in words: three million yuan only);
(4) Other expenses (including tax) amount ¥ 14718000 (in words: 147 million one hundred and eighty thousand yuan only);
Special invoices for 6% value-added tax shall be issued for survey and design fees and other expenses, 9% value-added tax shall be issued for construction and installation fees, and 13% value-added tax shall be issued for equipment fees. If the tax rate changes due to the adjustment of national policies, both parties agree that the amount excluding tax remains unchanged, and the tax rate shall be implemented according to the changed tax rate.
7. Payment
Advance payment: after the contract is signed, the employer shall pay 20% of the total contract price to the Contractor as an advance payment within 10 working days after the contract is signed. The amount of advance payment is RMB 129600000 (in words: RMB one hundred twenty-nine million six hundred thousand only).
Payment of construction and installation project funds: the progress payment of construction and installation project adopts the method of monthly progress declaration and approval. The Contractor shall declare the progress payment according to the completed monthly progress, and the employer shall measure it according to the actually completed quantities and progress, and pay the progress payment within 15 working days after approval. The progress payment shall be paid at 85% of the declared progress payment. Before each payment during the period, the contractor must provide 100% invoice of the corresponding payment amount, receipt of the corresponding payment amount, progress payment application and progress payment statistical report reviewed by the employer and the supervisor.
90% of the construction and installation project payment of this batch shall be paid within 10 working days after the batch of units pass the trial operation; Within 10 working days after the completion acceptance of the project, 97% of the construction and installation project payment shall be paid, and the remaining 3% shall be used as the quality guarantee of the project construction, which can be replaced by the quality guarantee.
Payment of equipment and material procurement fee:
Photovoltaic modules and box inverter integrated machine: every 20MW is a batch. According to the needs of project construction, before the arrival of each batch of equipment, the Contractor shall provide 3% quality guarantee and pay 100% of the total cost of the batch of equipment.
Other equipment: the monthly progress declaration and approval method shall be adopted for the payment of goods upon arrival of equipment procurement. The employer shall declare the payment for goods received according to the completed monthly progress, measure it according to the actual arrival quantity and progress, and pay the payment for goods received within 15 working days after approval. The payment received shall be paid at 85% of the declared payment received. Before each payment during the period, the contractor must provide 100% invoice of the corresponding payment amount and receipt of the corresponding payment amount, Sifang unpacking acceptance certificate, payment application and progress payment statistical report reviewed by the employer and the supervisor; 90% of the total cost of the equipment payment shall be paid within 10 working days after the completion of the trial operation, 97% of the total cost of the equipment payment shall be paid within 10 working days after the handover of production and acceptance, and the remaining 3% shall be used as the quality guarantee of the project construction, which can be replaced by the quality guarantee.
Payment of other expenses:
(1) Land acquisition (lease) related expenses: settle according to the actual land acquisition (lease) progress. After each batch of land acquisition (lease) is completed, pay 100% of the payable amount of the batch of land acquisition (lease) within 10 working days after providing relevant bills and vouchers; Fees for access roads and site clearance of temporary leased land for construction: settlement shall be made according to the actual land acquisition (lease) progress, and 100% of the corresponding contract amount shall be paid within 10 working days after the access roads and site clearance of temporary leased land for construction are completed; Compensation for young crops: settlement shall be made according to the actual payment progress, and 100% of the corresponding contract amount shall be paid within 10 working days after the completion of compensation for young crops.
(2) Survey and design fee: 20% of the fee shall be paid within 10 working days after the completion of the preliminary design of the project; 70% of the cost shall be paid within 10 working days after the construction drawing design is completed and passed the review; 97% of the cost shall be paid within 10 working days after the handover and acceptance of the project, and the remaining 3% shall be used as the project construction quality guarantee, which can be replaced by the quality guarantee. (3) Preliminary engineering cost, special project, consultation and special acceptance cost: 95% of the corresponding items in the contract list shall be paid within 10 working days after obtaining the corresponding reply or passing the acceptance; 100% within 10 working days after obtaining all the approval documents or passing the acceptance;
(4) Management fee and production preparation fee of the construction party: 97% of the cost shall be paid within 10 working days after the completion of the overall trial operation and handover of the project to production, and the remaining 3% shall be used as the quality assurance deposit of the project construction, which can be replaced by the quality guarantee; Project insurance premium: the payment is synchronized with the construction and installation fee.
(5) General contracting management fee: 97% of the contract amount shall be paid in equal proportion according to the completion progress, and the remaining 3% shall be used as the project construction quality guarantee, which can be replaced by the quality guarantee;
8. Liability for breach of contract:
(1) Breach of contract by the Contractor: if the Contractor fails to perform any of its obligations or fails to implement the project in accordance with the provisions of the contract, the employer may notify the contractor and require it to within the specified reasonable time limit (after both parties’ approval)
