Independent opinions of independent directors on matters related to the 21st Meeting of the seventh board of directors
As an independent director of the seventh board of directors of Pengdu Agriculture & Animal Husbandry Co.Ltd(002505) (hereinafter referred to as ” Pengdu Agriculture & Animal Husbandry Co.Ltd(002505) ” or “the company”) in accordance with the guiding opinions on the establishment of independent director system in listed companies, the articles of association, the rules of procedure of the board of directors, the working system of independent directors and other relevant provisions of the CSRC, We have carefully considered the relevant proposals considered at the 21st Meeting of the seventh board of directors, and based on our independent judgment, we express our independent opinions as follows:
1. Independent opinions on the appointment of senior managers
We believe that this appointment procedure complies with the relevant provisions of the company law and the articles of association, and there is no situation damaging the interests of the company and other shareholders; After reviewing the personal resume of the personnel to be employed, it is found that the employed person has the professional or industrial knowledge necessary to perform his duties and is competent for the duties of the corresponding posts of the company, which is conducive to the development of the company; It is not found that there are provisions in Article 146 of the company law, the guidelines for the standardized operation of listed companies of Shenzhen Stock Exchange, other normative documents or the articles of association that prohibit them from serving as senior managers of listed companies. Accordingly, we agree to appoint Mr. Wang Xun as the vice president of the company.
