Announcement on suspension of trading of major events planned by controlling shareholders

Shenzhen Mtc Co.Ltd(002429) (hereinafter referred to as “the company”) received the notice from the controlling shareholder of the company Nanchang zhaochi investment partnership (limited partnership) (hereinafter referred to as “Nanchang Zhaotou”) on February 21, 2022. Nanchang Zhaotou is planning the change of control. After the transaction is completed, the counterparty will obtain 15% – 25% of the equity of the company. The specific scheme is subject to the relevant agreements signed by all parties. If this transaction is completed, the counterparty will gain control of the company and become the controlling shareholder of the company.
In view of the uncertainty that the matter is under planning and needs to be approved by the competent department, in order to ensure fair information disclosure, avoid abnormal fluctuation of the company’s share price and safeguard the interests of the majority of investors, in accordance with the stock listing rules of Shenzhen Stock Exchange and the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 6 – suspension and resumption of trading, Upon the application of the company to Shenzhen Stock Exchange, the trading of the company’s shares will be suspended from the opening of the market on Tuesday, February 22, 2022. It is expected that the suspension will not exceed 2 trading days. During the period of disclosure, the company will strictly perform its obligations of information suspension in accordance with relevant laws and regulations. After the above matters are determined, the company will timely issue relevant announcements and apply for the resumption of trading of the company’s shares.
