In accordance with the relevant provisions of the company law, the Listing Rules of Shanghai Stock Exchange, the guiding opinions on the establishment of independent director system in listed companies, the articles of association and other laws, regulations and normative documents, we, as independent directors of Arts Group Co.Ltd(603017) (hereinafter referred to as the “company”), based on the principle of prudence and independent judgment, We hereby express the following opinions on the relevant matters in the proposal on Approving the signing of the equity purchase agreement between the company and the related party Suzhou Industrial Park Zhonghengli Industrial Investment Co., Ltd. to be considered at the 20th meeting of the Fourth Board of directors of the company:
We believe that the matters related to related party transactions are in line with the actual needs of the company, carried out in accordance with the principles of fair and just market, and there is no damage to the interests of minority shareholders. We agree to submit the proposal on Approving the signing of the equity purchase agreement between the company and the related party Suzhou Industrial Park Zhonghengli Industrial Investment Co., Ltd. to the 20th meeting of the Fourth Board of directors for deliberation.
