1、 Overview of guarantee
Xiamen Hexing Packaging Printing Co.Ltd(002228) (hereinafter referred to as “the company” or “the company”) deliberated and approved the proposal on the company providing guarantee for holding subsidiaries in 2021 at the 19th meeting of the Fifth Board of directors and the 2020 annual general meeting of shareholders held on April 19, 2021 and may 13, 2021, agreeing that the company will provide guarantee for the credit of 18 subsidiaries in 2021, The total amount of guarantee shall not exceed 1.63 billion yuan. The guarantee is valid from the date of the resolution of the annual general meeting of shareholders in 2020 to the date of the annual general meeting of shareholders in 2021. For the specific guarantee matters within the above limit, the chairman of the company is authorized to be specifically responsible for signing relevant guarantee agreements with financial institutions, and no separate board of directors or general meeting of shareholders will be held. There is no counter guarantee between the above guarantees. During the authorization period, the above guarantee amount can be recycled. 2、 Guarantee progress
Recently, the company signed a guarantee contract with Agricultural Bank Of China Limited(601288) Hanchuan sub branch on the credit business of its holding subsidiary Hubei Xiamen Hexing Packaging Printing Co.Ltd(002228) Printing Co., Ltd., with the maximum principal of the guaranteed creditor’s rights of RMB 189 million.
The above guarantee amount is within the limit approved by the board of directors and the general meeting of shareholders of the company.
3、 Main contents of the guarantee agreement

4. Maximum principal of secured creditor’s rights: 189 million yuan
5. Guarantee mode: joint and several liability guarantee
6. Guarantee period: the guarantee period of the guarantor is three years from the expiration of the debt performance period agreed in the main contract, and the guarantee period under each main contract is calculated separately. If there are debts to be performed by stages under the main contract, the guarantee period of the main contract is three years from the date of expiration of the last debt performance period.
7. Guarantee scope: including the loan principal, interest, default interest, compound interest, liquidated damages, damages payable by the debtor under the main contract, the interest and liquidated damages for delayed performance of the debt determined to be borne by the debtor and the guarantor in accordance with the relevant provisions of the Civil Procedure Law of the people’s Republic of China, preservation insurance premium and litigation (Arbitration) fee Lawyer’s fees and other expenses for creditors to realize their creditor’s rights.
4、 Accumulated external guarantee quantity and overdue guarantee amount
As of the disclosure date of this announcement, the actual guarantee balance of the company to its subsidiaries was RMB 373 million, accounting for 4.59% of the total audited assets of the company in the latest period (December 31, 2020) and 10.80% of the net audited assets of the company in the latest period (December 31, 2020).
The company has no other external guarantee except for the above guarantee for the subsidiary’s Bank credit. The company and its subsidiaries have no overdue external guarantees, guarantees involving litigation and losses due to the judgment of losing the guarantee.
