In order to manage the employee stock ownership plan more effectively, it is proposed to change the management organization of the employee stock ownership plan after deliberation and approval by the Management Committee of the employee stock ownership plan of Polaris Bay Group Co.Ltd(600155) (hereinafter referred to as “the company”). The details are as follows:
According to the employee stock ownership plan approved by the general meeting of shareholders and the board of directors, the company has implemented three phases of employee stock ownership plan, holding 147907400 shares in total, accounting for 8.50% of the total share capital, and Huachuang Securities Co., Ltd. is the management organization of each phase of employee stock ownership plan.
In order to implement more effective management, after deliberation and approval by the ESOP Management Committee, it is proposed to change the management organization of phase I and phase II ESOP into Chongqing International Trust Co., Ltd., entrust them to set up trust plans respectively, and set up a limited partnership under the trust plan. The limited partnership will transfer the company’s shares in the form of block transaction and agreement transfer, Realize the change of management organization.
