As an independent director of Huarui Electrical Appliance Co.Ltd(300626) (hereinafter referred to as the “company”) in accordance with the Shenzhen Stock Exchange GEM Listing Rules, the guidelines for the standardized operation of GEM listed companies, the guiding opinions on the establishment of independent director system in listed companies, the independent director system and other relevant laws, regulations, rules and regulations, We attended the third meeting of the Fourth Board of directors held by the company and expressed the following independent opinions on relevant matters of the meeting:
1、 Independent opinions on terminating the issuance of shares to specific objects
After verification, we believe that the termination of the company’s issuance of shares to specific objects is a prudent decision made after taking into account the capital market financing environment, the company’s own actual situation, business development planning and other factors. When the board of directors of the company deliberated the proposal, the deliberation procedures were in line with the provisions of relevant laws, regulations and the articles of association, and there was no situation that harmed the interests of the company and all shareholders, especially small and medium-sized shareholders. Therefore, we unanimously agree that the above company will terminate the relevant proposals related to the issuance of shares to specific objects.
2、 Independent opinions on the signing of relevant termination agreements and related party transactions between the company and specific objects
In view of the company’s decision to terminate the issuance of shares to specific objects, the company signed the termination agreement of share subscription agreement with specific objects Wuzhou Dongtai state owned Assets Management Co., Ltd. The terms and signing procedures of the agreement comply with the provisions of national laws, regulations and normative documents, and there is no situation that damages the interests of the company and all shareholders, especially minority shareholders. Therefore, we unanimously agree that the company and Wuzhou Dongtai state owned Assets Management Co., Ltd. sign the termination agreement of share subscription agreement.
