1、 Meetings of the board of directors
The notice of the 18th meeting of the seventh board of directors (hereinafter referred to as “the company”) was sent to all directors of the company by hand and e-mail on February 8, 2022. The meeting was held in the conference room of the company on February 17, 2022 by means of on-site and video communication voting. The meeting was presided over by the chairman, Mr. Dong zengping. There were 7 directors who should attend the meeting, and 7 directors actually attended the meeting. Mr. Dong zengping, Mr. Chen Bangdong and Mr. Yang Zhihua attended the meeting on site, and Mr. Wu Shengzhang, Mr. Qin Zhengyu, Mr. Zhao Shijun and Mr. Ye Feng participated in the meeting by video. The company plans to use its own capital of 1 billion yuan to establish a wholly-owned subsidiary Jiangsu Siyuan Energy Technology Co., Ltd. (tentative name, subject to the approval and registration of the registration authority). Agree to authorize the chairman or his authorized representative to handle matters related to this investment, including but not limited to determining and signing the legal documents involved in this investment, and handling the approval and registration procedures required for this investment.
