Suzhou Dongshan Precision Manufacturing Co.Ltd(002384) (hereinafter referred to as “the company”) 2022 annual stock ownership plan (Draft) (hereinafter referred to as “the employee stock ownership plan”) in accordance with the company law of the people’s Republic of China, the securities law of the people’s Republic of China The guidance on the pilot implementation of ESOP by listed companies (hereinafter referred to as the “guidance”) and other laws and regulations, normative documents and the articles of association of the company were formulated by the CSRC. It is hereby explained that the ESOP complies with the relevant provisions of the guiding opinions as follows:
1. The content of the employee stock ownership plan complies with the provisions of relevant laws, regulations and normative documents such as the guiding opinions, and the procedures are legal and effective. There is no prohibition of the implementation of the employee stock ownership plan stipulated in the guiding opinions and other laws and regulations;
2. The employee stock ownership plan complies with the basic principles of the employee stock ownership plan in the guiding opinions;
3. The company’s decision-making procedures for reviewing the proposals related to the employee stock ownership plan are legal and effective, and there is no situation that damages the interests of the company and all shareholders, or forces employees to participate in the employee stock ownership plan by means of apportionment, forced distribution, etc;
4. The board of supervisors verified the list of the employee stock ownership plan and considered that the holders proposed by the company’s employee stock ownership plan met the holder conditions specified in the guiding opinions and other laws, administrative regulations and normative documents, met the holder range specified in the employee stock ownership plan, and their subject qualification as the holder of the company’s employee stock ownership plan was legal and effective;
5. The implementation of ESOP by the company is conducive to establishing and improving the benefit sharing mechanism between workers and owners, improving the consistency of the interests of the company, shareholders and employees, and promoting all parties to pay common attention to the long-term development of the company; At the same time, further improve the corporate governance structure, improve the cohesion of employees and the competitiveness of the company, and ensure the long-term and stable development of the company without damaging the interests of the company and all shareholders.
In conclusion, the board of Directors believes that the shareholding plan (Draft) of the company’s core managers and technical talents in 2022 complies with the relevant provisions of the guiding opinions.
