The board of directors of Ciwen Media Co.Ltd(002343) (hereinafter referred to as “the company”) disclosed the announcement on the resignation of director, deputy general manager and Secretary of the board of directors (Announcement No.: 2021-040) on November 3, 2021. Mr. Yan Ming resigned as director, deputy general manager and Secretary of the board of directors of the company for personal reasons. According to the relevant provisions of the Listing Rules of Shenzhen Stock Exchange, after Mr. Yan Ming resigned, the duties of the Secretary of the board of directors of the company will be temporarily performed by Mr. Zhao Jianxin, the executive deputy general manager.
According to the relevant provisions of the Listing Rules of Shenzhen Stock Exchange, if the vacancy period of the Secretary of the board of directors of the company exceeds three months, the chairman of the board of directors shall act as the Secretary of the board of directors and complete the appointment of the Secretary of the board of directors within six months.
