Independent opinions on matters related to the first meeting of the Fifth Board of directors
Xiamen Sunrise Wheel Group Co.Ltd(002593) (hereinafter referred to as “the company”) held the first meeting of the Fifth Board of directors on February 17, 2022. In accordance with the guiding opinions on the establishment of independent director system in listed companies, the stock listing rules of Shenzhen Stock Exchange, the working rules for Xiamen Sunrise Wheel Group Co.Ltd(002593) independent directors, the articles of association and other relevant provisions of the CSRC, As an independent director of the company, after careful and careful verification and supervision, we hereby express the following independent opinions on the following matters at the first meeting of the Fifth Board of directors: 1. After examination, the nomination, deliberation and voting procedures of the company’s senior managers comply with the relevant provisions of the company law and the articles of association, which are legal and effective;
2. After reviewing the personal resumes and relevant materials of the company’s senior managers appointed at this meeting, we believe that the qualifications of the senior managers appointed at the first meeting of the Fifth Board of directors meet the relevant provisions of the company law, the articles of association and other rules, and have the ability and qualifications to perform relevant duties; There is no situation that it is not suitable to serve as senior managers of the company as stipulated in the company law, the articles of association and other rules, and there is no phenomenon that it is determined as a market prohibited person by the CSRC and the prohibition has not been lifted; Has not been subject to any punishment or punishment from the CSRC and Shenzhen Stock Exchange.
Therefore, we agree to appoint Mr. Wu Ziwen as the general manager of the company, Mr. Wu Zhiliang, Mr. Huang Xuecheng, Mr. Tian Minjing, Mr. He Aiping and Ms. Wu Xiaohong as the deputy general manager of the company, Mr. AI Ping as the chief financial officer of the company and Ms. Wu Xiaohong as the Secretary of the board of directors of the company.
