On the proposed nomination of supervisor candidates after the resignation of senior managers of the company

The company and all members of the board of directors guarantee that the information disclosed is true, accurate and complete without false records, misleading statements or major omissions.
The board of directors of Gem Co.Ltd(002340) (hereinafter referred to as “the company”) recently received a written resignation report submitted by Mr. Song Wanxiang, Mr. Wu Guangyuan and Mr. Chen binzhang, the deputy general manager of the company, because the board of supervisors of the company plans to nominate Mr. Song Wanxiang, Mr. Wu Guangyuan and Mr. Chen binzhang as candidates for shareholder representative supervisors of the sixth board of supervisors, In order to meet the regulatory requirements related to the composition of the board of supervisors, Mr. Song Wanxiang and Mr. Wu Guangyuan hereby apply for resignation from the position of deputy general manager of the company, and Mr. Chen binzhang hereby applies for resignation from the position of chief accountant of the company. Mr. Song Wanxiang, Mr. Wu Guangyuan and Mr. Chen binzhang still work in the company after their resignation.
According to the company law of the people’s Republic of China, the articles of association and other relevant provisions, the resignation applications of Mr. Song Wanxiang, Mr. Wu Guangyuan and Mr. Chen binzhang shall take effect when they are delivered to the board of directors. As of the disclosure date of this announcement, Mr. Song Wanxiang held 292500 shares of the company, Mr. Wu Guangyuan held 455000 shares of the company and Mr. Chen binzhang held 676000 shares of the company. Mr. Song Wanxiang, Mr. Wu Guangyuan and Mr. Chen binzhang promise to strictly abide by the restrictive provisions of relevant laws and regulations such as several provisions on the reduction of shares held by shareholders and directors, supervisors and senior managers of Listed Companies in Shenzhen Stock Exchange on the resignation and reduction of shares held by directors, supervisors and senior managers before the expiration of their term of office. Mr. Song Wanxiang, Mr. Wu Guangyuan and Mr. Chen binzhang have no other commitments that should be fulfilled but have not been fulfilled.
Mr. Song Wanxiang and Mr. Wu Guangyuan were the deputy general manager of the company and Mr. Chen binzhang was the chief accountant of the company. They performed their duties diligently and made important contributions to the strategic implementation and sustainable development of the company.
