Announcement of resolutions of the first meeting of the 10th board of directors

Greenland Holdings Corporation Limited(600606) the first meeting of the 10th board of directors was held on site at 193 Xiehe Road, Shanghai on February 16, 2022. There were 11 directors who should vote at the meeting, 11 directors who actually voted, and 2 supervisors attended the meeting as nonvoting delegates, which was in line with the relevant provisions of the company law and the articles of association. The meeting considered and adopted the following proposals:
1、 Proposal on the election of the chairman of the 10th board of directors of the company
Elect Mr. Zhang Yuliang as the chairman of the 10th board of directors of the company, and the term of office is the same as that of the current board of directors.

2、 Proposal on the election of vice chairman of the 10th board of directors of the company

4、 Proposal on appointing the president of the company
It is agreed to employ Mr. Zhang Yuliang as the president of the company (see Annex for resume), and the term of office is the same as that of the current board of directors. Voting results: 11 in favor, 0 against and 0 abstention.
5、 Proposal on the appointment of the company’s executive president
It is agreed to employ Ms. Zhang Yun, Mr. Chen Jun and Mr. Geng Jing as the executive president of the company (see the attachment for resume), and the term of office is consistent with that of the current board of directors.

6、 Proposal on the appointment of the Secretary of the board of directors of the company
It is agreed to employ Mr. Wang Xiaodong as the Secretary of the board of directors of the company (see Annex for resume), and the term of office is the same as that of the current board of directors.

Zhang Yuliang, Chinese nationality, male, born in December 1956, bachelor degree, senior economist. He once served as a member and Deputy Secretary of the Party committee of Jiangqiao Town, Jiading District, Shanghai, director of the office of the Shanghai Municipal Committee of agriculture, deputy director of the Housing Office of the Shanghai Municipal Committee of agriculture, etc. In 1992, he founded Shanghai Greenland Corporation (the predecessor of Greenland Group), and successively served as the general manager of Shanghai Greenland Corporation, chairman, President and party secretary of Greenland Group. He is currently the chairman and President of the company.
Zhang Yun, Chinese nationality, female, born in April 1970, with a bachelor’s degree. Chen Jun, Chinese nationality, male, born in September 1975, with a doctoral degree. He has successively served as assistant general manager of Chengdu real estate division of Greenland Group, assistant general manager of Xi’an real estate division, deputy general manager of Xi’an real estate division, general manager of Xi’an (northwest) real estate division, assistant president, vice president, executive vice president and executive president of Greenland Group, chairman and president of the board of directors of Greenland Hong Kong Holdings Co., Ltd. He is currently the CEO of the company.
Geng Jing, Chinese nationality, male, born in September 1974, has a doctoral degree. He once served as president of Bank Of Shanghai Co.Ltd(601229) Zhangyang sub branch, general manager of Corporate Finance Department of Pudong branch, deputy general manager of business department of the head office, director and executive vice president of Aijian securities (presiding over the work), executive vice general manager of Aijian Trust (presiding over the work), vice president of Changjiang endowment insurance, etc. After joining Greenland Group, he successively served as the chairman and President of Greenland financial holding group, the president assistant, vice president, executive vice president and executive president of Greenland Group, and the chairman and President of Greenland Jinchuang technology group.
