As an independent director of Qitian Technology Group Co.Ltd(300061) (hereinafter referred to as the “company”) in accordance with the relevant provisions of the rules for independent directors of listed companies, the rules for the listing of shares on the gem of Shenzhen Stock Exchange and the guidelines for self discipline supervision of listed companies on the Shenzhen Stock Exchange No. 2 – standardized operation of listed companies on the gem of China Securities Regulatory Commission, We hereby express the following independent opinions on the relevant matters of the 19th meeting of the Fifth Board of directors of the company: I. independent opinions on the appointment of senior managers of the company
The deliberation and voting procedures for the appointment of senior managers comply with the relevant provisions of the company law and the articles of association. After reviewing the personal resume and other relevant materials of the employed personnel, it is found that there are no circumstances specified in article 3.2.3 of the guidelines for self discipline and supervision of listed companies on the Shenzhen Stock Exchange No. 2 – standardized operation of companies listed on the gem, or other normative documents or the articles of association, which prohibit them from serving as senior managers of listed companies. The senior managers appointed this time have the ability and conditions required to perform their corresponding duties, are competent for the duties of the post, and agree to the appointment resolution formed by the board of directors.
