1、 Meetings of the board of supervisors
Yunnan Energy New Material Co.Ltd(002812) (hereinafter referred to as “the company”) has sent a notice on convening the 36th meeting of the Fourth Board of supervisors (hereinafter referred to as “the meeting”) to all supervisors of the company in writing on February 13, 2022. The meeting was held at 13:00 p.m. on February 16, 2022 in the conference room on the third floor of Shanghai Enjie New Material Technology Co., Ltd., the holding subsidiary of the company. There are three supervisors who should attend the meeting and three supervisors who actually attend the meeting, which are presided over by Mr. Zhang Tao, chairman of the board of supervisors. The meeting was convened and held in accordance with the company law of the people’s Republic of China and the Yunnan Energy New Material Co.Ltd(002812) articles of Association (hereinafter referred to as the “articles of association”).
2、 Deliberation at the meeting of the board of supervisors
After careful deliberation by all supervisors present at the meeting, the resolution is as follows:
(I) the proposal on signing the cooperation agreement for the whole industry chain project of new energy batteries was reviewed and approved. After review, the board of supervisors considered that the company planned to sign the cooperation agreement for the whole industry chain project of new energy batteries with Yuxi Municipal People’s government, Eve Energy Co.Ltd(300014) , Zhejiang Huayou Holding Group Co., Ltd., Yunnan Yuntianhua Co.Ltd(600096) on the same day, and agreed to jointly invest in the establishment of two joint ventures, After the joint venture company obtains the exploration and mining rights in accordance with the law, it will jointly mine mineral resources, carry out deep processing of minerals, jointly develop, produce and sell new energy batteries and upstream and downstream materials of new energy batteries, promote the construction of new energy battery industry chain, and jointly promote the formation of the whole industrial chain cluster of new energy batteries in Yuxi City. The resolution procedures for the above matters comply with the provisions of relevant laws, regulations and the articles of association.
