The proposal on public listing transfer of 100% equity of Shenzhen Kaifa Technology Co.Ltd(000021) Guilin was deliberated and adopted at the interim meeting of the ninth board of directors of the company.
We believe that the company’s public listing and transfer of 100% equity of Shenzhen Kaifa Technology Co.Ltd(000021) Guilin through Shanghai United equity exchange is in line with the company’s strategic development direction, and the relevant decision-making procedures are in line with the company law, the stock listing rules of Shenzhen Stock Exchange and other laws and regulations as well as the relevant provisions of the articles of association, The listing reserve price of this equity transfer is based on the appraisal value of Shenzhen Kaifa Technology Co.Ltd(000021) Guilin’s total equity value of 227179000 yuan as of March 31, 2021. The appraisal result has been filed and confirmed by the SASAC, and there is no situation that damages the interests of the company and all shareholders, especially small and medium-sized shareholders.
