Independent opinions of independent directors on the appointment of senior managers of the company
As an independent director of Shanghai Athub Co.Ltd(603881) (hereinafter referred to as the “company”) in accordance with the independent director rules of listed companies (hereinafter referred to as the “independent director rules”), the governance standards of listed companies, the stock listing rules of Shanghai Stock Exchange (hereinafter referred to as the “listing rules”) and other laws and regulations of the CSRC and the relevant provisions of the articles of association, Based on the position of independent judgment, the following independent opinions are expressed on the proposal on the appointment of senior managers of the company considered at the eighth meeting of the third board of directors of the company:
1. Shanghai Athub Co.Ltd(603881) the nomination procedure of Ms. Zeng Ying, chief financial officer, is legal and effective.
2. After learning about Ms. Zeng Ying’s personal resume and work performance, we believe that her qualifications meet the relevant conditions and are competent for the post responsibilities of the chief financial officer. She has not been punished by the CSRC and other relevant departments and securities trading, nor does it exist in the company law The company’s articles of association stipulates the conditions for prohibiting employment and the punishment of being banned from entering the securities market by the CSRC.
In conclusion, we agree to appoint Ms. Zeng Ying as the chief financial officer of the company.
