1、 Overview of agreement signing
In order to promote the realization of the overall objectives of “one yard access” for urban life and “one card” for residents’ service, and comprehensively promote the ecological development of digital government and digital economy, Guangzhou Desheng Intelligent Information Technology Co., Ltd. (hereinafter referred to as “Desheng intelligent”), a wholly-owned subsidiary of Guangdong Tecsun Science & Technology Co.Ltd(002908) (hereinafter referred to as “the company” or ” Guangdong Tecsun Science & Technology Co.Ltd(002908) “), recently negotiated with Ping An International Smart City Technology Co., Ltd. (hereinafter referred to as “Ping An smart City”), Signed the framework cooperation agreement on smart city construction (hereinafter referred to as the “framework cooperation agreement”), and agreed that the two sides will carry out the construction of “one yard one city” project nationwide through the cooperation mode of “platform + terminal + operation service”, as well as related to human resources and social security, including social security card, social insurance, talent employment The service content of vocational training and other scenarios, as well as the service content of other extended government application scenarios.
There is no affiliated relationship between the company and Ping An smart city. The signing of this Agreement does not constitute a connected transaction or a major asset reorganization specified in the measures for the administration of major asset reorganization of listed companies. 3、 Main contents of the agreement
1. With the help of their respective business and capability advantages, both parties provide the cooperation mode of “platform + terminal + operation service” under specific business scenarios, strengthen the exchange and cooperation of relevant technologies and businesses based on the “e-citizen code” scenario applications in major cities, and jointly explore new scenario applications (including but not limited to advertising applications) New cooperation content and new business cooperation mode;
2. Both parties shall use their own resources to provide support for the framework cooperation, including but not limited to city recommendation, potential customer mining, talent recommendation, etc;
3. The term of cooperation is three years, calculated from the effective date of this agreement. During the cooperation period, Ping An smart city will purchase intelligent terminal equipment and products and services related to scene construction from Desheng intelligent. The specific procurement shall be subject to the separate agreement signed by both parties.
4、 Impact on the company
As a wholly-owned subsidiary of the company, Desheng intelligence is an aiot application service provider focusing on providing artificial intelligence security products and access intelligent control platform services. Its service ability is in the leading position in the industry in the fields of smart city, Ai Community, AI building, AI campus and so on. *** China Mobile and other high-quality partners have fully carried out in-depth cooperation. At present, the “one card” project has been constructed in Wuhu, Tongren, Dongguan, Baoding, Lu’an and other cities.
Among them, on the “I Guanjia” one yard City Project in Dongguan, the company cooperated with Ping An smart city, took the lead in opening new experiences of smart city such as senseless access and senseless payment, helped the digital development of Dongguan, and built a smart city benchmark demonstration project in the whole province and even the whole country. Based on the cooperation foundation of Dongguan project, the signing of the cooperation framework agreement with Ping An smart city will accelerate the implementation and promotion of the “one yard one city” project nationwide. It is expected that more than 30 cities will be implemented through the project during the cooperation period.
