In accordance with the relevant provisions of the independent director rules of listed companies, the stock listing rules of Shenzhen Stock Exchange, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board, the articles of association of Hyunion Holding Co.Ltd(002537) (hereinafter referred to as “the company” or “the company”) and the working system of independent directors of the company, As an independent director of the company, we express independent opinions on relevant matters of the 23rd (Interim) meeting of the Fourth Board of directors as follows:
1、 Independent opinion on partner plan
After deliberation, we believe that the partnership plan formulated by the company can combine the interests of shareholders, the interests of the company and the personal interests of employees, establish a mechanism for the transformation of core employees from professional managers to partners, stimulate the passion of core employees for innovation and entrepreneurship, and better solve the issues of risk sharing and benefit sharing between investors and employees, so as to jointly expand the common cause Share common achievements and form a win-win corporate culture. The partnership plan formulated this time complies with relevant laws, regulations and the relevant provisions of the articles of association of the company. The decision-making process is legal and effective. There is no situation that damages the interests of the company and shareholders, especially small and medium-sized investors. We unanimously agree with the partnership plan formulated by the company.
