1、 Overview of guarantee matters
(I) consideration of guarantee
Mls Co.Ltd(002745) (hereinafter referred to as “the company”) held the 19th meeting of the Fourth Board of directors on April 27, 2021, deliberated and adopted the proposal on the prediction of external guarantee line in 2021, and agreed that the company (including holding subsidiaries) should provide external guarantee for subordinate companies when they apply for bank credit and daily business needs, with the maximum guarantee amount of RMB 2 million. The validity period of the external guarantee limit is 12 months from the date of deliberation and approval of the company’s 2020 annual general meeting of shareholders. Mr. Sun Qinghuan, the chairman of the company, is authorized to be responsible for organizing the implementation and signing relevant contracts and sub authorization documents, and Mr. Sun Qinghuan is authorized to appropriately adjust the guarantee amount of each subordinate company within the scope allowed by laws and regulations according to the actual business needs. (II) overview of guarantee progress
Recently, due to the needs of the company’s production and operation, the company and its subsidiaries Zhongshan Mls Co.Ltd(002745) Electronics Co., Ltd., Ji’an Mls Co.Ltd(002745) display device Co., Ltd Ji’an Mls Co.Ltd(002745) lighting device Co., Ltd. and Zhongshan Mls Co.Ltd(002745) Microelectronics Co., Ltd. intend to purchase production equipment from Shenzhen Branch of Xianyu Microelectronics Technology Co., Ltd. (Shanghai) (hereinafter referred to as “Shenzhen Xianyu micro”), and signed the guarantee contract. The company is the subordinate subsidiary Ji’an Mls Co.Ltd(002745) lighting device Co., Ltd Ji’an Mls Co.Ltd(002745) display device Co., Ltd., Zhongshan Mls Co.Ltd(002745) Electronics Co., Ltd. and Zhongshan Mls Co.Ltd(002745) Microelectronics Co., Ltd. provide guarantees to Shenzhen Xianyu micro procurement production equipment, with a maximum amount of joint and several guarantees of RMB 156 million (the amount can be recycled).
