As an independent director of Digital China Group Co.Ltd(000034) (hereinafter referred to as “the company”), in accordance with the company law, the rules for independent directors of listed companies, the stock listing rules of Shenzhen Stock Exchange, the self regulatory guidelines for listed companies of Shenzhen Stock Exchange No. 1 – standardized operation of listed companies on the main board, the articles of association and other relevant provisions, and in line with the principle of seeking truth from facts, With a serious and responsible attitude, we have carefully reviewed the proposal on daily connected transactions in 2022 proposed to be submitted to the 12th meeting of the 10th board of directors for deliberation. Based on the position of independent judgment, we express our prior approval opinions as follows:
The daily related party transactions to be considered by the company in 2022 meet the needs of the company’s daily operation. The transaction price is based on the market price, reflecting the principle of fair transaction and consensus. The development of relevant businesses is conducive to the long-term development of the company, has no adverse impact on the independence of listed companies, and does not damage the interests of the company and minority shareholders. When the board of directors deliberates this proposal, the related directors shall withdraw from voting as required. It is agreed to submit it to the 12th meeting of the 10th board of directors for deliberation.
