In accordance with the guiding opinions on the establishment of independent director system in listed companies, the guidelines for the governance of listed companies, the stock listing rules of Shenzhen Stock Exchange and the independent director system of the company issued by the CSRC, we, as independent directors of Hunan Valin Steel Co.Ltd(000932) (hereinafter referred to as “the company”), reviewed the resignation of the chairman and general manager of the company, The independent opinions are as follows:
Due to work adjustment, Mr. Cao Zhiqiang applied to resign from his position as chairman, director, member and convener of the seventh board of directors, member of nomination and salary assessment committee and general manager of the company. We checked the reasons for Mr. Cao Zhiqiang’s resignation, and the reasons for his resignation are consistent with the actual situation. The resignation of Mr. Cao Zhiqiang will not cause the composition of the board of directors to be lower than the statutory requirements. At present, the company is promoting the follow-up work such as by election of directors, election of new chairman and appointment of general manager, which will not affect the normal operation of the board of directors and the orderly development of the company’s production and operation activities.
