The board of directors of Shandong Hi-Speed Road&Bridge Co.Ltd(000498) (hereinafter referred to as “the company”) recently received the resignation report submitted by Mr. Tian Junzhen, Mr. Li Wenhu and Mr. Wang Linzhou, the senior management of the company. The relevant information is hereby announced as follows:
1、 Resignation of directors
Mr. Tian Junzhen, the director, resigned as a director of the 9th board of directors and a member of the risk control committee of the board of directors due to his age. After his resignation, he stayed in the company and continued to hold other positions. Mr. Li Wenhu resigned as a director of the ninth board of directors of the company due to work reasons and did not hold any position in the company and its subsidiaries after his resignation. Mr. Tian Junzhen and Mr. Li Wenhu do not hold shares in the company, have no differences of opinion with the company and the board of directors, and have no matters to be brought to the attention of the shareholders of the company. The resignation of Mr. Tian Junzhen and Mr. Li Wenhu will not cause the number of the board of directors of the company to be lower than the legal minimum and will not affect the normal operation of relevant work of the company. According to the relevant provisions of the company law and the articles of association, the resignation report shall take effect when it is delivered to the board of directors of the company.

2、 Appointment and removal of Mr. Wang Linzhou, deputy general manager
Mr. Wang Linzhou resigned from the position of deputy general manager of the company due to job change. After his resignation, he stayed in the company and continued to hold other positions. Mr. Wang Linzhou does not hold shares of the company, has no disagreement with the company and the board of directors, and has no matters to be brought to the attention of the shareholders of the company. Mr. Wang Linzhou’s resignation will not affect the normal operation of relevant work of the company.
In order to ensure the smooth progress of the work, the company held the 31st meeting of the ninth board of directors on February 14, 2022, deliberated and adopted the proposal on by election of director candidates of the ninth board of directors of the company, and the board of directors agreed to elect Mr. Wang Linzhou as a director of the company until the expiration of the term of office of the current board of directors. This matter needs to be submitted to the general meeting of shareholders of the company for deliberation.
Since there is no situation in the company’s board of directors where employee representatives serve as directors, after the election, the total number of directors who concurrently serve as senior managers of the company in the board of directors does not exceed one-half of the total number of directors of the company.
