1、 Overview of guarantee
Jingao Cecep Solar Energy Co.Ltd(000591) Technology Co., Ltd. (hereinafter referred to as “the company”) held the 28th meeting of the Fifth Board of directors on December 9, 2021 and the second extraordinary general meeting of shareholders in 2021 on December 27, 2021, and deliberated and adopted the proposal on the prediction of the amount of guarantee of the company and its subsidiaries in 2022, It is agreed that in 2022, the company will provide guarantees for subordinate companies within the scope of consolidated statements, guarantee each other among subordinate companies, and the new guarantee amount provided by subordinate companies for the company will not exceed 38 billion yuan, of which the new guarantee amount to guarantee objects with asset liability ratio of more than 70% will not exceed 19.8 billion yuan, The newly added guarantee amount to guarantee objects with asset liability ratio of less than 70% shall not exceed 18.2 billion yuan. The guarantee scope includes but is not limited to the financing guarantee for the application of financing business and the performance guarantee for daily operation. The types of guarantee include general guarantee, joint and several liability guarantee, mortgage, pledge, etc. The above authorization is valid from the date of approval by the general meeting of shareholders of the company to December 31, 2022.
