(hereinafter referred to as “Xigaze lithium industry”), the holding subsidiary, officially signed the energy supply service contract with the State Power Investment Corporation for the above-mentioned project. The contract takes effect from the date when it is signed and sealed by both parties and approved by the group companies of both parties. 1、 Introduction to counterparty

2、 Main contents of the contract
1. Party A (energy user): Tibet Xigaze Zabuye lithium High Tech Co., Ltd
Contract Party B (Supplier): State Power Investment Group Tibet Energy Co., Ltd. 2. Effectiveness of the contract: the contract shall come into force after the legal representatives or authorized representatives of both parties sign, affix the official seal or special seal for the contract, and obtain the approval of the group companies of both parties. The contract shall be valid until the expiration of the energy supply service period.
3. Service period: the starting date of the energy supply service period of the project is the date when the project is completed and officially put into operation, and the energy supply service period is 25 years. After the project is completed and officially put into operation, if the photovoltaic photovoltaic photovoltaic thermal power station stops generating electricity for a period of time due to reasons other than Party B, the energy supply service period shall be suspended and the calculation shall continue after the photovoltaic photovoltaic photovoltaic photovoltaic thermal power station resumes generating electricity. The energy supply service period of the project can be extended if necessary with the consent of both parties through negotiation.
4. Project scheme design and Implementation: 1) Party B shall design the project according to the final design value provided by Party A (tentative annual power consumption is about 260 million kwh; 35t / h in steam heating season and 31 T / h in non heating season, parameter 5 bar, 158 ℃; Party B shall design and formulate corresponding power supply and steam supply schemes and plans according to the feasibility study of Party A’s 10000 ton battery grade lithium carbonate project for green comprehensive development and utilization of Tibet Zabuye Salt Lake. Within one year after the project is put into operation, both parties shall achieve their respective project design objectives, except in case of force majeure. 2) Party B is responsible for the fund-raising, construction, operation and maintenance of the project, and provides a package of power and steam supply services for Party A. Party B provides a package of dispatching and operation schemes such as isolated network operation, power grid emergency and comprehensive energy for lithium carbonate plant. The annual equivalent power supply and full steam operation hours are 8000 hours, and the energy supply capacity shall ensure the safe, stable and reliable comprehensive energy supply of Party A’s lithium carbonate production. 3) The general principle of project implementation is that Party A’s 10000 ton battery grade lithium carbonate project for green comprehensive development and utilization of Tibet Zabuye Salt Lake (hereinafter referred to as “Party A’s lithium carbonate plant project”) and the project shall be constructed and put into operation simultaneously; Both parties agree that on July 30, 2023, Party A’s lithium carbonate project and Party B’s energy supply project have standby energy and energy supply conditions. If one party fails to meet this requirement, it is necessary to adjust the project progress of both parties and obtain the written consent of the other party. 5. Contract price: the price of power supply is 0.819 yuan / kWh (tax included), the price of steam supply is 280 yuan / ton (tax included), and the settlement of power supply (steam) volume shall be subject to the measurement of the gateway table at the measurement point of Party A.
6. As the project has the characteristics of high technical threshold, large investment and single user selection, Party A and Party B agree on the risk sharing and benefit sharing mechanism.
7. Rights and obligations of both parties: 1) Party A accepts Party B’s power transmission according to this contract, and Party B provides electric energy in line with national standards and power industry standards and steam energy in accordance with the agreed standards, and the energy technical scheme and configuration requirements provided by Party B can meet Party A’s full load production and peak production needs. Have a safe, stable and reliable comprehensive energy supply to meet the production of the 10000 ton battery grade lithium carbonate project for the green comprehensive development and utilization of Zabuye Salt Lake in Tibet, realize the operation scheme of “isolated network operation, power grid emergency and comprehensive energy package dispatching”, and overcome the shortcomings of weak power grid structure, unstable power supply, competition with people and complex power grid dispatching in the near area, Taking full account of the energy needs of the future phase II and III of the 10000 ton battery grade lithium carbonate project for the green comprehensive development and utilization of Zabuye Salt Lake in Tibet, it has certain transformation and expansibility, including the scheme of changing electricity to steam. 3) Party A shall operate and maintain relevant power facilities and reasonably control the power quality of the power system in accordance with relevant national laws, regulations and technical specifications. 4) EPC + O of the 10000 ton battery grade lithium carbonate project for the green comprehensive development and utilization of Zabuye Salt Lake in Tibet is a prerequisite for each other. Party B shall ensure that the two projects are constructed simultaneously and reach production capacity. Otherwise, both parties reserve the right to pursue responsibility and compensation, but both parties shall communicate in advance and solve it through friendly negotiation.
8. Main liabilities for breach of contract:
Party B (energy supplier): 1) if Party B fails to meet the normal energy demand of Party A’s lithium carbonate project on the agreed date, it shall be liable for breach of contract to Party A. 2) One year (365 days) after the date agreed by both parties, if the electricity (steam) provided by Party B to Party A is less than 65% of the design value due to Party B, Party B shall be liable for breach of contract to Party A. 3) One year (365 days) after the date agreed by both parties, if the quality of electricity (steam) provided by Party B to Party A does not meet the agreed standards, it cannot be guaranteed that the electricity (steam) provided can meet the normal production of Party A for 24 hours a day (except for the shutdown determined by both parties through negotiation due to overhaul, technical transformation and maintenance), If Party A’s production is directly or indirectly reduced or the equipment is damaged, resulting in Party A’s shutdown or reduction of production, both parties shall analyze the root causes and take repair, replacement and other methods to restore the equipment to its original state or supply energy as soon as possible.
Party B shall bear corresponding damages according to the third-party appraisal results confirmed by both parties or recognized by both parties.
Party A (energy user): 1) if Party A fails to pay Party B as agreed, it shall be liable to Party B for breach of contract. The liquidated damages shall be calculated based on 5 ‰ of the unpaid amount per day. 2) One year (365 days) after the date agreed by both parties, if Party B’s equipment is damaged due to the change of energy load of Party A’s mechanical equipment (except for prior notice), both parties shall analyze the root cause and take repair, replacement and other methods to restore the original state or function of the equipment as soon as possible. Party A shall bear corresponding damages according to the third-party appraisal results confirmed by both parties or recognized by both parties. 3) If Party A fails to normally use electric energy and steam energy according to the agreed date and Party B is unable to supply energy, Party A shall be liable for breach of contract to Party B.
