Announcement on the resignation of independent directors

The board of directors of Sichuan Western Resources Holding Co.Ltd(600139) (hereinafter referred to as “the company”) received the resignation report submitted by Mr. Zhang Kun, an independent director of the company. Due to personal reasons, Mr. Zhang Kun applied to resign as an independent director of the company, chairman of the nomination committee under the board of directors, member of the strategy committee, audit committee and remuneration and assessment committee.
Mr. Zhang Kun’s resignation will cause the number of the board of directors and independent directors of the company to be lower than the quorum. According to the relevant provisions of the company law and the articles of association, his resignation application will take effect only after the new independent director is elected at the by election of the company’s general meeting. Before that, in order to ensure the normal operation of the board of directors, Mr. Zhang Kun will continue to perform his duties in accordance with relevant laws and regulations and the articles of association.
