(hereinafter referred to as “this transaction”).
The board of directors of the company explained that this transaction does not constitute the reorganization and listing specified in Article 13 of the measures for the administration of major asset reorganization of listed companies, as follows:
This transaction is the sale of the equity of subsidiaries held by the listed company, which does not involve the issuance of shares, nor the purchase of assets from the actual controller of the listed company and its affiliates, and will not lead to the change of the actual controller of the listed company. Therefore, this transaction does not constitute the transaction situation stipulated in Article 13 of the measures for the administration of major asset restructuring of listed companies, that is, it does not constitute reorganization and listing.
