Jiangsu Zhongli Group Co.Ltd(002309) (hereinafter referred to as ” Jiangsu Zhongli Group Co.Ltd(002309) ” or “the company”) disclosed the announcement on the transfer of control of a wholly-owned subsidiary (Announcement No.: 2022-012) on February 10, 2022. The subsidiary Guangdong Zhongde Cable Co., Ltd. (hereinafter referred to as “Guangdong Zhongde”) (including its subsidiary Shenzhen Zhongli) has paid dividends before the equity transfer:
As of September 30, 2021, the book undistributed profit of Guangdong Zhongde (including Shenzhen Zhongli) was 358527893.42 yuan (Unaudited), and 250 million yuan was distributed to shareholders in cash. During the equity transfer, the assessed value of shareholders’ equity of Guangdong Zhongde was 659 million yuan and that of its subsidiary Shenzhen Zhongli was 138 million yuan, And the disclosure of “the net cash flow generated by the current investment activities of the listed company according to the merger criteria is estimated to increase by about 796.58 million yuan, and the impact of the formed investment income on the current period is about 287.9577 million yuan (the specific amount needs to be confirmed by the audit institution)”, which have fully considered the above dividend factors.
