Announcement on the resignation of independent directors
The board of directors and all directors of the company guarantee that there are no false records, misleading statements or major omissions in the contents of the announcement, and bear individual and joint liabilities for the authenticity, accuracy and completeness of the contents.
The board of directors of China Cssc Holdings Limited(600150) Heavy Industry Co., Ltd. (hereinafter referred to as “the company”) received a written resignation report from Mr. Wang Yongli, the independent director of the company, on February 10, 2022. Due to the relevant provisions that his new employer shall not work part-time, Mr. Wang Yongli proposed to the board of directors to resign from the position of independent director and convener of the audit committee of the Fifth Board of directors of the company. Mr. Wang Yongli does not hold shares in the company and will no longer hold any position in the company after his resignation.
Mr. Wang Yongli’s resignation did not cause the number of independent directors of the company to be lower than the minimum quorum, nor did it lead to the absence of accounting professionals among the independent directors of the company, which did not affect the normal operation of the board of directors of the company.
