As an independent director of Nafine Chemical Industry Group Co.Ltd(000737) (hereinafter referred to as “the company”), we have carefully reviewed the materials of the third meeting of the ninth board of directors of the company and expressed the following independent opinions on the daily related party transactions expected in 2022:
The daily related party transactions expected to occur between the company and related parties in 2022 are in line with the actual situation of the company and are required for daily production and operation activities. The transaction pricing is fair, which fully reflects the principles of openness, fairness and impartiality, does not affect the independence of the company and does not damage the interests of the company and shareholders. It is expected that the voting procedure for the daily related party transactions in 2022 is legal, and the related directors avoid voting, which is in line with the provisions of relevant laws and regulations and the articles of association. Agree to submit the matter to the general meeting of shareholders of the company for deliberation.
