As an independent director of Nafine Chemical Industry Group Co.Ltd(000737) (hereinafter referred to as “the company”), we have carefully reviewed the proposal and relevant materials to be submitted to the third meeting of the ninth board of directors for deliberation, and made the following prior approval opinions on the daily related party transactions expected in 2022:
The daily related party transactions expected to occur between the company and related parties in 2022 are required by the company’s daily production and operation activities. The pricing is fair, which fully reflects the principles of openness, fairness and impartiality, does not affect the independence of the company, and does not damage the interests of the company and shareholders. Agree to submit the matter to the board of directors of the company for deliberation. When the board of Directors considers the daily related party transactions in 2022, the related directors need to avoid voting.
