Special verification opinions on hiring a third party
Anhui Andeli Department Store Co.Ltd(603031) (hereinafter referred to as “the company”, “listed company” and ” Anhui Andeli Department Store Co.Ltd(603031) “) intends to pay cash to Ningbo Yafeng Electric Appliance Co., Ltd. (renamed “Fujian Nanping Dafeng Electric Appliance Co., Ltd.”, hereinafter referred to as “Ningbo Yafeng”) through Anhui Anfu Energy Technology Co., Ltd. (hereinafter referred to as “Anfu energy”) Purchase 15% equity of Ningbo Yajin Electronic Technology Co., Ltd. (hereinafter referred to as “Yajin technology”) (hereinafter referred to as “this transaction” or “this reorganization”). Huaan Securities Co.Ltd(600909) (hereinafter referred to as “the independent financial adviser”) as the independent financial adviser of Anhui Andeli Department Store Co.Ltd(603031) this restructuring, according to the opinions on strengthening the risk prevention and control of honest employment such as hiring a third party by securities companies in investment banking business ([2018] No. 22), The independent financial advisor and the listed company have checked the behavior of employing a third party institution or individual (hereinafter referred to as “the third party”) in this transaction and expressed the following opinions:
1、 The independent financial consultant does not engage any kind of direct or indirect paid third party
After verification, the independent financial consultant did not directly or indirectly hire a third party for compensation in this transaction, which is in line with the relevant provisions of the opinions on strengthening the risk prevention and control of honest practitioners such as securities companies hiring a third party in investment banking business.
2、 The listed company does not directly or indirectly employ any third party with compensation except the intermediary institutions required to be employed according to law
The independent financial consultant conducted special verification on the listed company’s paid employment of a third party and other related acts. After verification, as of the date of issuance of this verification opinion, the listed company has hired independent financial consultants, law firms, accounting firms and asset appraisal institutions in this transaction according to law. In addition to the above employment, there is no direct or indirect paid employment of other third parties, which is in line with the relevant provisions of the opinions on strengthening the risk prevention and control of honest practitioners such as securities companies hiring third parties in investment banking business.
