1、 Transaction overview
Sinomine Resource Group Co.Ltd(002738) (hereinafter referred to as “the company” and “the company”) deliberated and adopted the proposal on signing the share and debt sale agreement to acquire the equity of bikita lithium mine in Zimbabwe by subsidiaries at the 16th meeting of the Fifth Board of directors held on January 29, 2022, It is agreed that the wholly-owned subsidiary China Mining (Hong Kong) rare metal resources Co., Ltd. (hereinafter referred to as “Hong Kong China Mining rare”) will acquire 100% equity of African minerals Ltd and 100% equity of amzim minerals Ltd jointly held by African metals Management Services Ltd and southern African Metals & minerals Ltd (collectively referred to as the “seller”) at the benchmark consideration of US $180 million. 2、 Transaction progress
On February 8, 2022, Hong Kong China Mining rare received the transaction notice from the seller, the resolution of the board of directors and the resolution of the shareholders’ meeting that the seller agreed to the transaction. As of the date of this announcement, the preconditions of the share and debt sale agreement have been fully met. Upon confirmation by all parties, the subsequent delivery of bikita lithium project in Zimbabwe is started. 3、 Documents for future reference
