Announcement on the resignation of independent directors and chief financial officer
The board of directors and all directors of the company guarantee that there are no false records, misleading statements or major omissions in the contents of this announcement, and bear individual and joint liabilities for the authenticity, accuracy and completeness of its contents. The board of directors of Nantong Jiangshan Agrochemical & Chemicals Co.Ltd(600389) (hereinafter referred to as “the company”) recently received written resignation applications submitted by independent director Mr. Xu Xiaodong and deputy general manager and chief financial officer Mr. Ye Honglin. Mr. Xu Xiaodong has served as an independent director of the company for six years. According to the guidance on establishing an independent director system in listed companies, he needs to apply to the board of directors for resignation from the position of independent director and relevant special committees. Since Mr. Xu Xiaodong’s resignation will cause the number of independent directors of the company to be less than one-third of the members of the board of directors, his resignation application will take effect after the new independent director is elected by the general meeting of shareholders of the company.
For personal reasons, Mr. Ye Honglin applied to resign from the post of deputy general manager and chief financial officer of the company and no longer held any post in the company after his resignation. In accordance with the company law, the articles of association and other relevant provisions, the resignation report shall take effect from the date it is delivered to the board of directors of the company. Mr. Ye Honglin’s resignation will not affect the normal production and operation of the company. The company will convene a board of directors to appoint a new chief financial officer as soon as possible.
