As an independent director of Shenyang Commercial City Co.Ltd(600306) (hereinafter referred to as “the company”), based on the independent judgment position on the matters considered by the board of directors of the company, the following opinions are issued in accordance with the relevant provisions of the code for the governance of listed companies and the guiding opinions on the establishment of independent director system in Listed Companies: the relevant procedures for the appointment of president of the company comply with relevant laws According to the relevant provisions of the laws and regulations and the articles of association, Ms. Wang Haiyan has not been identified as a market prohibited person by the CSRC and the prohibition has not been lifted, nor has she been publicly identified by the stock exchange as unfit to serve as a senior manager of a listed company. After reviewing Ms. Wang Haiyan’s resume and other relevant materials provided by the board of directors, we believe that her educational background, employment experience, professional ability and professional quality have the qualifications and ability to serve as senior managers of the company. As an independent director of the company, we unanimously agree to appoint Ms. Wang Haiyan as the president of the company.
