Malion New Materials Co.Ltd(300586) (hereinafter referred to as “the company”) held the fifth meeting of the Fourth Board of directors on January 14, 2022 and the first extraordinary general meeting of shareholders in 2022 on January 24, 2022, which respectively deliberated and adopted the proposal on absorbing and merging wholly-owned subsidiaries, It is agreed that the company will absorb and merge the wholly-owned subsidiary Guangdong Meilian diaphragm Co., Ltd. (hereinafter referred to as “Meilian diaphragm”). Recently, the company completed the cancellation procedures of Meilian diaphragm on the above matters and obtained the notice of approval of cancellation of registration issued by Shantou market supervision and Administration Bureau. After the cancellation procedures are completed, the relevant work of the company’s absorption and merger of Meilian diaphragm has been completed. After the completion of this absorption and merger, the registered capital of the company will not change, the number of shareholders will not be directly affected by this absorption and merger, and there is no need for industrial and commercial change registration.
This merger will help to further integrate and optimize the company’s industrial layout, improve asset management efficiency and operation efficiency, reduce management costs, and will not have a significant impact on the company’s normal operation, financial status and profitability.
