The board of directors of Shandongsino-Agriunitedbiotechnologyco.Ltd(003042) (hereinafter referred to as “the company”) recently received a written resignation report from Mr. Wang Bing, an independent director of the company. Mr. Wang Bing applied to resign as an independent director of the third board of directors and relevant special committees of the board of directors of the company because he has served as an independent director of the company for six consecutive years. As of the disclosure date of this announcement, Mr. Wang Bing did not hold shares of the company.
After Mr. Wang Bing resigns as an independent director of the company, the number of independent directors of the company will be less than one-third of the number of the board of directors. According to the independent director rules of listed companies, the guidelines for the standardized operation of listed companies of Shenzhen Stock Exchange and the articles of association of China Securities Regulatory Commission, Mr. Wang Bing’s resignation report will take effect after the election of new independent directors at the general meeting of shareholders of the company.
