On February 7, 2022, the company received a notice from the controlling shareholder and actual controller Guo Xiumei that the counterparty of the transfer of control is Zoomlion Heavy Industry Science And Technology Co.Ltd(000157) (hereinafter referred to as ” Zoomlion Heavy Industry Science And Technology Co.Ltd(000157) “), and Guo Xiumei and her spouse Zhu Shucheng signed the share transfer agreement with Zoomlion Heavy Industry Science And Technology Co.Ltd(000157) on February 7, 2022; Meanwhile, Guo Xiumei voluntarily gave up the voting rights of the remaining shares after the completion of this share transfer, so she signed the commitment on Shenzhen Roadrover Technology Co.Ltd(002813) waiver of voting rights on the same day.
