Hob Biotech Group Corp.Ltd(688656) (hereinafter referred to as “the company”) held the 13th meeting of the second board of directors on January 30, 2022, deliberated and approved the proposal on the appointment of senior managers, and agreed to appoint Mr. Sun ruoliang, Ms. Huang Xiaohua and Ms. sun Guojing as the deputy general manager of the company, The term of office is from the date of deliberation and approval at the 13th meeting of the second board of directors to the date of expiration of the term of office of the second board of directors.
Upon nomination by the general manager of the company, the nomination committee of the board of directors of the company reviewed the qualifications of the above senior management candidates and found that Mr. Sun ruoliang, Ms. Huang Xiaohua and Ms. sun Guojing (see the appendix for the resume of the candidates) met the qualifications of senior management, had relevant work experience and were competent for the positions they hired. All independent directors of the company have expressed unanimous independent opinions on the appointment of the above senior managers by the board of directors. After reviewing the resumes of Mr. Sun ruoliang, Ms. Huang Xiaohua and Ms. sun Guojing, the candidates for deputy general manager of the company, and understanding the educational background and work resume of the above-mentioned personnel, the independent directors of the company believe that Mr. Sun ruoliang, Ms. Huang Xiaohua and Ms. sun Guojing have the professional quality and working ability to hold corresponding positions and have the conditions suitable for exercising their functions and powers, Qualified for the position, and there is no case where the company law or relevant regulations of the CSRC and Shanghai Stock Exchange are not allowed to serve as senior managers of the company.
