Special opinions of independent directors
As an independent director of Shenzhen Wongtee International Enterprise Co.Ltd(000056) (hereinafter referred to as “the company”), in accordance with the relevant provisions of the company law, the rules for independent directors of listed companies, the working system of independent directors of the company and the articles of association, we express the following independent opinions on relevant matters of the company with a realistic, serious and responsible attitude and based on independent judgment:
1、 Independent opinions on the pre listing and transfer of not less than 51% equity of Shenzhen Rongfa Investment Co., Ltd. and Chongqing Huangting jewelry Plaza Co., Ltd
This transaction will be conducted by means of public listing, which follows the principles of openness, fairness and impartiality, conforms to market rules, and does not harm the interests of minority shareholders. The company plans to hire an evaluation institution with securities and futures qualification to evaluate the subject assets for this major asset sale. All independent directors believe that the practice is in line with relevant national laws and regulations and the prevailing market practices and standards, which can provide a reasonable basis and reference for the sale of major assets.
This major asset sale is conducive to improving the company’s financial situation, enhancing the company’s ability to resist risks, accelerating the pace of the company’s industrial transformation, and in line with the interests of the company and all shareholders. When considering the above proposals, the board of directors of the company has performed the approval procedures in accordance with relevant regulations. The transaction price of the underlying assets of this transaction is determined by public listing, and the final transaction price is subject to the result of public listing. The pricing principle fully protects the interests of all shareholders of the listed company, especially the minority shareholders.
