Jilin University Zhengyuan Information Technologies Co.Ltd(003029) (hereinafter referred to as “the company”) convened the sixth meeting of the eighth board of directors and the sixth meeting of the eighth board of supervisors on April 27, 2021, deliberated and adopted the proposal on renewing the appointment of the audit institution in 2021. The company renewed the appointment of Tianzhi International Certified Public Accountants (special general partnership) (hereinafter referred to as “Tianzhi international”) as the company’s audit institution in 2021 for one year. This matter has been deliberated and approved by the company’s 2020 annual general meeting of shareholders. For details, please refer to cninfo (www.cn. Info. Com. CN.) on the information disclosure website designated by the CSRC The announcement on renewing the appointment of accounting firms (Announcement No.: 2021-018) and the announcement on the resolution of the general meeting of shareholders in 2020 (Announcement No.: 2021-034) disclosed. On January 28, 2022, the company received the explanatory letter on changing the signing certified public accountant from Tianzhi international, and now announces the relevant information as follows:
1、 Change of signature accountant
As the auditor of the company’s 2021 financial statements and internal control, Tianzhi international originally appointed Li Zhizhong (project partner), Yin Jinkai and Wang Jun as the signing certified public accountants to provide audit services for the company. Due to the work arrangement, Yan Lei is hereby assigned to replace Li Zhizhong as the project partner and signing certified public accountant of the company’s 2021 financial statements and internal control audit. After the change, the signing certified public accountants are Yan Lei, Wang Jinfeng and Chang Hao.
2、 Basic information of Certified Public Accountants signed this change
Yan Lei (project partner) became a certified public accountant in 2008 and practised in Tianzhi international. He began to audit listed companies in 2005 and provided audit services for the company in 2021. He signed 6 audit reports of Listed Companies in recent three years and failed to review the audit reports of Listed Companies in recent three years, so he has corresponding professional competence.
Wang Jinfeng became a certified public accountant in 2016 and practised in Tianzhi international. He began to engage in the audit of Listed Companies in 2008 and provided audit services for the company in 2021. He signed two audit reports of Listed Companies in recent three years and did not review the audit reports of Listed Companies in recent three years, so he has the corresponding professional competence.
Chang Hao became a certified public accountant in 2014 and practised in Tianzhi international. He began to engage in the audit of Listed Companies in 2012 and provided audit services for the company in 2021. He signed two audit reports of Listed Companies in recent three years and did not review the audit reports of Listed Companies in recent three years, so he has the corresponding professional competence.
Yan Lei, Wang Jinfeng and Chang Hao did not violate the independence requirements of the code of professional ethics for Chinese certified public accountants. In the past three years, he has not been subject to criminal punishment, administrative punishment, administrative supervision measures and self-discipline punishment for his practice.
3、 Other
During this change, the relevant work arrangements will be handed over in an orderly manner, and the changes will not affect the audit of the company’s financial statements in 2021.
