Description of confidentiality measures and systems adopted for this transaction
Xinjiang Zhongtai Chenical Co.Ltd(002092) (hereinafter referred to as “listed company” or “company”) intends to purchase 75.89% shares of MEC Chemical Co., Ltd. (hereinafter referred to as “MEC chemical”) held by some shareholders of Xinjiang MEC Chemical Co., Ltd. (hereinafter referred to as “MEC chemical”) by issuing shares and convertible corporate bonds and raise supporting funds (hereinafter referred to as “this transaction”).
The company has taken necessary and sufficient confidentiality measures in strict accordance with the requirements of laws, regulations and normative documents such as the measures for the administration of major asset restructuring of listed companies, the measures for the administration of information disclosure of listed companies, the standards for the content and format of information disclosure by companies offering securities to the public No. 26 – major asset restructuring of listed companies, An effective confidentiality system has been formulated or implemented to continuously carry out the management of insider information throughout the restructuring process. The details are as follows:
1. The company attaches great importance to the management of inside information. Since the initial contact between all parties, the company has strictly controlled the scope of insiders and registered insiders in time.
2. The company strictly controlled the scope of insiders and made the registration form of insiders and the memorandum of trading process.
3. The company has repeatedly supervised and reminded the insiders of relevant inside information to fulfill their confidentiality obligations and responsibilities. Before the disclosure of the inside information according to law, they shall not disclose or disclose the information, nor use the inside information to buy or sell or suggest others to buy or sell the shares of listed companies.
