Announcement on resolutions of the 5th meeting of the 10th board of directors
The company and all members of the board of directors guarantee that the contents of the announcement are true, accurate and complete without false records, misleading statements or major omissions.
The fifth meeting of the 10th board of directors of Fiyta Precision Technology Co.Ltd(000026) (hereinafter referred to as “the company”) was held by means of communication voting on Sunday, February 6, 2022 after sending the meeting notice in the form of e-mail on January 28, 2022. There were 9 voting directors and 9 actual voting directors. The meeting was held in accordance with the provisions of the company law and the articles of association. The resolutions of the meeting are as follows:
1、 The meeting adopted the proposal on the appointment of the company’s chief accountant with 9 affirmative votes, 0 negative votes and 0 abstention votes;
The board of directors of the company recently received a written resignation report submitted by Mr. Chen Zhuo, chief accountant and Secretary of the board of directors. Mr. Chen Zhuo applied for resignation from the position of chief accountant and Secretary of the board of directors of the company due to work reasons, and his resignation report shall take effect from the date when it is delivered to the board of directors of the company. After his resignation, Mr. Chen Zhuo no longer holds any position in the company.
In accordance with the company law, the articles of association and other relevant provisions, and upon the nomination of Mr. Pan Bo, the general manager of the board of directors, the company decided to appoint Mr. Song Yaoming as the chief accountant for a term of office from the date of adoption of the current board of directors to the end of the 10th board of directors of the company.
The independent directors of the company expressed their independent opinions on this.

2、 The meeting adopted the proposal on appointing the chief accountant of the company to act as the Secretary of the board of directors with 9 affirmative votes, 0 negative votes and 0 abstention.
In view of Mr. Chen Zhuo’s resignation as secretary of the board of directors due to work reasons, in accordance with the relevant provisions of the Listing Rules of Shenzhen Stock Exchange and the articles of association, before the company formally appoints a new secretary of the board of directors, the board of directors appoints Mr. Song Yaoming, the chief accountant of the company, to act as secretary of the board of directors for no more than three months. The company will complete the formal appointment of the Secretary of the board of directors as soon as possible.
