Independent opinions on matters related to the fourth meeting of the Fourth Board of directors
As an independent director of Poten Environment Group Co.Ltd(603603) (hereinafter referred to as “the company”), according to the guiding opinions on the establishment of independent director system in listed companies, the stock listing rules of Shanghai Stock Exchange, the articles of association and other relevant provisions, after careful review of relevant meeting materials and full and comprehensive discussion and analysis of all independent directors, based on the position of independent judgment, I hereby express my independent opinions on the relevant matters considered at this meeting as follows:
1、 Independent opinions on the proposal on the appointment of senior vice president of the company
After verification, we believe that the deliberation procedure of appointing Ms. Sun Chen as the senior vice president of the company complies with the provisions of the company law, the articles of association and other relevant laws and regulations, and is legal and effective. After reviewing Ms. Sun Chen’s resume and other relevant materials, we believe that her qualifications comply with the provisions of the company law, the articles of association and other relevant laws and regulations, there is no case that she is not allowed to serve as a senior manager of the company as stipulated in the company law, and there is no case that she has been punished by the CSRC and other relevant departments and the stock exchange, Nor is there any case that the CSRC has determined that it is prohibited from entering the market and the prohibition has not been lifted.
Therefore, we agree to appoint Ms. Sun Chen as the senior vice president of the company.
2、 Independent opinions on the proposal on the appointment of the company’s chief financial officer
After verification, we believe that the nomination and deliberation procedures for the appointment of Mr. Zhao Qing as the company’s chief financial officer comply with the provisions of the company law, the articles of association and other relevant laws and regulations, and are legal and effective. After reviewing Mr. Zhao Qing’s resume and other materials, we believe that his qualification meets the provisions of the company law, the articles of association and other relevant laws and regulations, has the professional knowledge and work experience necessary to perform his duties, and has not been punished by the CSRC and other relevant departments or the stock exchange, There are no circumstances stipulated in the company law that prohibit them from serving as senior managers of the company, no circumstances that have been punished by the CSRC and other relevant departments and punished by the stock exchange, and no circumstances that have been determined by the CSRC to be prohibited from entering the market and the prohibition has not been lifted.
Therefore, we agree to appoint Mr. Zhao Qing as the chief financial officer of the company.
