When the term of office of the members of the eighth board of directors expires, in order to ensure the normal operation of the board of supervisors, a general election shall be held in accordance with the company law, the articles of association, the rules of procedure of the board of directors and the implementation rules of the nomination committee of the board of directors The nomination committee of the board of directors reviewed the qualifications of candidates for the 9th board of directors and issued the following suggestions in a serious and responsible manner: after review, Qu Honggui, Shu Longsheng, Wang Yu, Guo Chen, Zhou Chao and he Li were nominated as candidates for non independent directors of the 9th board of directors of the company, Wei Jun, Wang Hejun Han Xu is an independent director candidate of the ninth board of directors of the company. The above candidates meet the qualifications of directors and independent directors of listed companies respectively and are competent for the job responsibilities. There is no case that they do not meet the relevant provisions of the company law and are determined by the CSRC as a market prohibited person and the prohibition has not been lifted.
We agree to nominate Qu Honggui, Shu Longsheng, Wang Yu, Guo Chen, Zhou Chao and he Li as candidates for non independent directors of the ninth board of directors of the company; Wei Jun, Wang Hejun and Han Xu are candidates for independent directors of the ninth board of directors of the company and need to be submitted to the board of directors for deliberation.
