The reporter learned that Shandong Port Group, Qingdao SASAC and Qingdao Port International Co.Ltd(601298) group have jointly signed the free transfer agreement between Shandong Port Group Co., Ltd. and the state owned assets supervision and Administration Commission of Qingdao Municipal People’s Government on 51% equity of Shandong Port Qingdao Port International Co.Ltd(601298) Group Co., Ltd. The acquisition is that the state owned assets supervision and Administration Commission of Qingdao Municipal People’s government transferred 51% equity of Shandong Port Qingdao Port International Co.Ltd(601298) Group Co., Ltd., its direct controlling shareholder, to Shandong Port Group Co., Ltd. free of charge, resulting in the indirect acquisition of 55.77% shares of the company by Shandong Port group. L before the completion of this equity transfer, Qingdao SASAC directly held 51% equity of Qingdao Port International Co.Ltd(601298) group, and indirectly held 3620103000 shares of Qingdao Port International Co.Ltd(601298) through Qingdao Port International Co.Ltd(601298) group, accounting for about 55.77% of the total share capital of Qingdao Port International Co.Ltd(601298) . Qingdao SASAC is the actual controller of Qingdao Port International Co.Ltd(601298) .
After the equity transfer is completed, Shandong Port Group directly holds 100% equity of Qingdao Port International Co.Ltd(601298) group, and the number of shares indirectly held by Qingdao Port International Co.Ltd(601298) group through Qingdao Port International Co.Ltd(601298) group is 3620103000 shares, accounting for about 55.77% of the total share capital of Qingdao Port International Co.Ltd(601298) . The controlling shareholder of Qingdao Port International Co.Ltd(601298) is still Qingdao Port International Co.Ltd(601298) group, and the actual controller will be changed from Qingdao SASAC to the state owned assets supervision and Administration Commission of Shandong Provincial People’s government. This Qingdao Port International Co.Ltd(601298) group equity change will not lead to changes in the company’s main business structure and will not have a material impact on the company’s normal business activities.
