Lootom Telcovideo Network(Wuxi) Co.Ltd(300555) 5 May 20 announcement: upon inquiry, on May 17, the 10226212 shares of the company held by Ningbo Yuyao Huasheng Cloud City Smart City Operation Technology Co., Ltd. (hereinafter referred to as “Huasheng Cloud City”) which is the controlling shareholder of the company, have been frozen by the judiciary, accounting for 40.74% of the company’s shares and 5.11% of the company’s total share capital. Up to now, the controlling shareholders and their persons acting in concert have pledged 10 million shares of the company, accounting for 26.56% of the shares held by them and 5% of the total share capital of the company.
It is reported that on May 6, 2021, Huasheng Yuncheng, Yongxin Zehong Enterprise Management Co., Ltd. (hereinafter referred to as “Yongxin Zehong”) and Jia Qing signed the share transfer agreement of Lootom Telcovideo Network(Wuxi) Co.Ltd(300555) between Ningbo Yuyao Huasheng Yuncheng Smart City Operation Technology Co., Ltd., Jia Qing and Yongxin Zehong enterprise management Co., Ltd. and the voting right entrustment agreement, which agreed that Jia Qing Yongxin Zehong transferred 25101283 shares of the company to Huasheng Yuncheng, and Jia Qing entrusted the voting rights of 12550600 shares of the listed company to Huasheng Yuncheng. After the equity change, Jia Qing, Yongxin Zehong, Huasheng Yuncheng and their related parties formed a concerted action relationship. According to the detailed equity change report disclosed by the company on May 7, 2021, Huasheng Yuncheng promises not to transfer the shares obtained from this equity change within 18 months after the completion of this equity change.
