On January 11, Giant Network Group Co.Ltd(002558) signed the strategic cooperation framework agreement with the related party Shanghai golden partner Biotechnology Co., Ltd. the two sides will carry out strategic cooperation in the field of digital marketing of consumer goods for a period of one year from the date of deliberation and approval by the general meeting of shareholders, and the total amount of cooperation expenses shall not exceed 20 million yuan.
It is reported that the gold partner is an enterprise indirectly controlled by Shi Yuzhu, the actual controller of the company. Liu Wei, the director and general manager of the company, once served as a director of the enterprise. According to relevant regulations, the gold partner is an affiliated legal person of the company, and the above transactions constitute connected transactions.
Statistics show that golden partner was established on November 7, 2001 with a registered capital of HK $100 million. It is a limited liability company (Hong Kong, Macao and Taiwan investment, non sole proprietorship) invested and established in Shanghai by Ruiji Investment Co., Ltd. (accounting for 75%) and Hong Kong United Co., Ltd. (accounting for 25%). Golden partner is mainly engaged in the R & D, production and sales of Chinese health food and nutritional food. After more than 20 years of precipitation, its core products “melatonin” and “golden partner” have developed into well-known brands in the industry. By the end of 2021, it had total assets of RMB 1.363 billion and net assets of RMB 161 million. In 2020 and 2021, it realized operating revenue of RMB 218 million and RMB 220 million respectively, and net profit of RMB 1994.28 million and RMB 26.5052 million respectively.

According to the agreement, both parties will jointly formulate a digital marketing plan, and golden Partner agrees to entrust the digital marketing business of relevant products to Giant Network Group Co.Ltd(002558) and carry out marketing through Giant Network Group Co.Ltd(002558) digital service capability.
Giant Network Group Co.Ltd(002558) said that the signing of the above agreement is conducive to strengthening mutual business collaboration, promoting win-win cooperation and realizing resource sharing and complementary advantages. This transaction is expected to bring a certain amount of business income to the company, but the overall scale is limited, it will not have a significant impact on the company’s financial and operating conditions, and there is no damage to the interests of the company and shareholders.
